GENERAL INFORMATION

1. WEBSITE
   Infravision SRL with legal office in Brasov, Romania (as such is defined below) operates the global internet platform https://eurocheesehub.com(the “Website”) and has established the following terms of use of its digital wholesale market of cheese and dairy products.
   Use of this Website is subject to these terms of use (the “Terms of Use”), as in force at any given time, which constitute the agreement between EuroCheeseHub and any person accessing the Website.
   Use of this Website in any way constitutes unreserved acceptance by the user of the Terms of Use and the EuroCheeseHub Privacy Policy, as in force at any given time.
   Please read the Terms of Use carefully as set out below before using our Website. If you do not agree with these Terms of Use, you may not access EuroCheeseHub B2B marketplace and you are kindly requested to exit this Website.
2. EUROCHEESEHUB B2B MARKETPLACE
   Any reference in the present to “we”, “our” or “EuroCheeseHub”, shall mean the single member private company under the trade name “Infravision SRL”, duly organized and governed by the laws of Romania, with registered office at Macesului 25 St, 507190 Sanpetru, Brasov. Any reference in the present to “you”, shall mean any Buyer or Producer (as defined below) accessing the Website.
   EuroCheeseHub B2B marketplace is an online business to business marketplace where buyers and sellers of cheese products can meet each other and increase their market. Any prospective professional supplier of Products (the “Producer”) may create a profile, present its products and offer them for sale to Buyers. Any prospective wholesale buyer of Products which is a legal entity or an individual acting in their professional capacity (the “Buyer”) may enter the Website and seek and express interest in and/or purchase any Products from the the “Producer”. EurocheeseHub B2B platform has been created to enable Suppliers (Producers)  to sell their Products and Buyers to purchase Products on a specified price displayed in the “Producer” offer through the Website. The Producer is legally responsible for complying with the health code, market and tax provisions concerning sales of cheese and dairy-related products, as well as complying with the additional requirements of the integrated management system and EU compliance. 3. The Buyer acknowledges that requirements such as product certification according to European Food Safety requirements and standards are precisely and clearly stated at the order purchase placement stage. The Buyer acknowledges that any further requirements beyond those explained above, related to special or extra product specifications, legislation requirements of destination countries, labelling requirements, packing materials specifications, further laboratory testing, supplier certification systems and relevant issues, is their sole responsibility. Βoth the Producer and the Buyer acknowledge that EuroCheeseHub is neither the ultimate wholesale buyer of the Products, nor a resupplier of the Products to prospective Buyers through the EuroCheeseHub B2B platform. For the avoidance of doubt and for completeness, it is clarified that a Buyer cannot be a natural person acting in their capacity as a consumer.
   TERMS OF USE
   These terms describe the rights and obligations of Producers/Buyers, who may only be business users (i.e. legal entities or individuals acting in their professional capacity) in relation to the use of the services provided by EuroCheeseHub and in relation to the terms of the purchase of Products through EuroCheeseHub B2B platform. Each Buyer shall have the obligations and rights deriving from these Terms of Use to the extent that it acts as the Buyer in the EuroCheeseHub platform. Visitors of the Website may see information about the Website and the whole range of the Products, but prices, availability, other information of the Products, and/or the ability in general to sell and purchase Products through the Website are available only to registered users with an account/profile on EuroCheeseHub B2B platform excluding the promotional period decided solely by EuroCheeseHub. All the “Producers” and “Buyers” will upgrade automatically for FREE as VIP Members during the promotional period.
4. BUYER/PRODUCER REGISTRATION  
   In order to purchase Products via EuroCheeseHub B2B platform, the Buyer/Producer shall create an account/profile on EuroCheeseHub B2B platform. The trade name, the TIN number and the registered offices of the Buyer are required in order to create the account for verification purposes. Only valid VAT numbers are accepted to post requests. Any company registered with an invalid VAT number will be suspended from EuroCheeseHub platform. Upon registration and validation, the Buyer/Producer acquires its professional buyer profile membership badge (Free, Gold or VIP members) on the EuroCheeseHub B2B platform and may access Products offered for sale by Producers. 
5. CODE OF CONDUCT – COMPLIANCE WITH APPLICABLE LAWS
   EuroCheeseHub B2B platform has been created to enable the Producers to present their Products online and Buyers to have access to such Products and purchase them directly. EuroCheeseHub shall not be obliged to cover or make good any damage or disputes resulting from the use of the information provided through this Website. EuroCheeseHub B2B platform does not share its opinion or check the validity and quality of the Products that appear on the Website. Nevertheless, it reserves the right not to post content that it may consider abusive, defamatory or insulting to EuroCheeseHub, its partners or the other users of the Website. 
6. BUYER / PRODUCER ACCOUNT TERMINATION
   1. The agreement concluded through Buyer/Producer registration on the EuroCheeseHub B2B platform is of indefinite duration. EuroCheeseHub reserves the right to remove or deactivate access to a Buyer/Producer for any reason at its sole discretion, with prior notification of the suspension to the Buyer/Producer email address with immediate effect. In any case, the Buyer/producer reserves the right to request a virtual meeting with EuroCheeseHub, but EuroCheeseHub, shall not be under any obligation to accept such request. 
   3.2. In the event that the Buyer/Producer has repeatedly breached the applicable Terms of Use or EuroCheeseHub,is obliged to cease to cooperate with the Buyer due to a legal or regulatory obligation or for an unforeseen reason under applicable law or otherwise, in accordance with EU and national law, EuroCheeseHub, reserves the right to suspend any account made with EuroCheeseHub. Following the termination or cancellation of the Buyer/Producer account for any reason whatsoever, EuroCheeseHub, shall have no obligation to pay the Buyer/Producer any compensation for loss of profit due to termination of cooperation.
7. REPRESENTATIONS AND WARRANTIES 
   By registering on EuroCheeseHub B2B platform, Buyer/Producer represents and warrants that it is a business user (legal entity or individual in their professional capacity) duly established and/or registered to the competent commercial registry and/or tax authority.
8. LIABILITY AND INDEMNITY 
   1. EuroCheeseHub, shall not be obliged to cover or make good any damage or disputes resulting from the use of the information provided through this Website.
   8.2. EuroCheeseHub shall not be responsible against the Buyer/Producer in respect or as a result of any purchased made with the selected Producer through the platform.

8.3. EuroCheeseHub assumes no responsibility for any errors or viruses of any kind or for any loss of data or other damage to the user or third parties, whether due to use/copying/downloading viruses or to a virus attack or to other unauthorized third-party interventions in files or information available through the Website.
8.4. Without prejudice to the provisions of term 11 below, EuroCheeseHub is in no way liable for any damage or loss of profit resulting from transactions made through the platform www. Eurocheesehub.com. EuroCheeseHub may, but has no obligation to, evaluate, assess, adopt, accept, or approve information, and its provision through this Website may under no circumstances be deemed to constitute the provision of advice or recommendation, offer, proposal or acceptance of a proposal to enter into any agreement or transaction with EuroCheeseHub or with third parties. The user is exclusively responsible for the use, assessment, evaluation and utilisation of the information provided at any given time. Any business or other decisions taken based on this information is at the sole risk of the user, and EuroCheeseHub shall not be obliged to cover or make good any damage or disputes resulting from the use of the information provided through this website.

9. ACCESS TO THE ACCOUNT
   1. The Buyer and Producer are responsible for any activity carried out on or through their account. To protect your account, keep your password confidential. Do not reuse your account password on other services. If you forget your password and you cannot otherwise validate your EuroCheeseHub account, you acknowledge and agree that your account may be unreachable by you and that all data associated with your account may be unrecoverable.
   9.2. Furthermore, you understand and accept that the Internet is not a secure environment and EuroCheeseHub is not liable for any loss of data or other damage to the recipient or third parties due to either use or delayed transmission, interception, alteration or virus contamination. The recipient bears sole responsibility for protecting their system from viruses and accepting e-mails. EuroCheeseHub and those responsible for its creation and maintenance do not bear and disclaim liability for any direct or indirect damage that may result from the use of the Website, the transfer of data, or a possible violation of the Terms of Use. We remind you that every effort is made to create a safe and pleasant trading environment.

10. NON-DISCLOSURE OBLIGATION
    For the purposes of this term the following definition shall apply:
    Confidential Information means the information disclosed by or in the name of the Buyer or Producer to EuroCheeseHub via the Website www. Eurocheesehub.com.

10.1. The Buyer/ Producer makes available Confidential Information to EuroCheeseHub. EuroCheeseHub undertakes not to disclose the confidential information provided by the Buyer/Producer without his consent to any third party. EuroCheeseHub shall ensure that Confidential Information disclosed by the Buyer/Producer to EuroCheeseHub shall at all times be in the possession or under control of EuroCheeseHub or its affiliates and at any time, at the request of the Buyer/Producer shall immediately return or caused to be returned to the Buyer/Producer.
10.2. The non-disclosure obligation above shall not apply to any information which:
(a) is already in the public domain or which subsequently comes into the public domain other than by any act or failure to act on the part of EuroCheeseHub;
(b) is required to be disclosed by EuroCheeseHub by any law or governmental authority or agency or by an order of any court of competent jurisdiction, provided, that the EuroCheeseHub shall provide the Buyer/Producer notice of such required disclosure and shall take reasonable steps to contest such disclosure;
(c) is already known to EuroCheeseHub as evidenced by its records and was not acquired directly from the Buyer/Producer;
(d) is lawfully acquired by EuroCheeseHub from any third party at the time it was acquired by EuroCheeseHub.

10.3. Any user activity that does not follow EuroCheeseHub Terms of Use will result in a number of actions, such as: blocking of some or all of your messages to other members, reduction of supplier rating, sale and purchase restrictions, suspension or deletion of an account, application of charges and recovery of costs for oversight, monitoring and enforcement of this policy. No charges paid for accounts for which we undertake any such oversight action will be refunded or otherwise credited to your account.
10.4. In the event of breach of this term 11 of the Terms of Use the Buyer shall indemnify EuroCheeseHub for the entire loss and damage suffered by EuroCheeseHub (including indirect and consequential loss and damage as well as loss of profits).

11. INTELLECTUAL PROPERTY
    1 The content of this Website, such as texts, pictures, photographs, company trademarks and graphics are the exclusive property of EuroCheeseHub. All rights are reserved. Use of the Website and EuroCheeseHub B2b platform does not grant you the ownership of any intellectual or other rights of possession or interest over it or the content that you access. You may not remove, cover or alter any statements on legal matters that appear on or in parallel to the Website and EuroCheeseHub.
    11.2 It is prohibited to use, copy, reproduce or retransmit any material without the written consent of the company or its partners.
    11.3. The Website may include trade names, signs, trademarks and/or distinctive signs and/or photographs of products, belonging to third parties. EuroCheeseHub is not liable or responsible for any third party content on the Website.
12. AMENDMENT TO THE TERMS
    It is expressly agreed that these terms of use may be unilaterally revised and updated following notification of the Buyer of any proposed change. The proposed changes are not implemented before the expiry of the fifteen-day deadline within which EuroCheeseHub notifies the Suppliers of the applicable changes.
13. INTERNAL COMPLAINTS HANDLING SYSTEM – MEDIATION
    1. EuroCheeseHub B2B platform provides an internal system for handling complaints received from EuroCheeseHub users. This system is easily accessible, free of charge to the users, ensures the processing of disputes within a reasonable time.
    13.2. EuroCheeseHub and the Buyer/Producer also agree to the potential for out-of-court dispute resolution through the establishment of a mediation system. To this end, EuroCheeseHub may work with two (2) mediators from the Register of Mediators of the Romanian Ministry of Justice to reach an agreement between the latter and the Buyer/Producer regarding any disputes that may arise during provision of EuroCheeseHub services to the Buyer/Producer, including any complaints that cannot be resolved through the aforementioned internal handling system.
14. DISPUTE RESOLUTION – APPLICABLE LAW
    These Terms are governed by Romanian law. Any dispute between any Producer and/or Buyer and EuroCheeseHub concerning the interpretation and/or application of these Terms shall be subject exclusively to the competent Courts of Brasov, Romania. Any change in legislation or case law, partial or total invalidity of one of the terms hereof, shall not impact the effect or validity of the remaining terms of the contractual relationship between the contracting parties.
15. PRIVACY POLICY AND PERSONAL DATA PROTECTION
    By using the website and the services provided through it, the user acknowledges that they have read and accepted our Privacy Policy and that EuroCheeseHub B2B platform may use their information in the context of its Privacy Policy, in accordance with applicable data protection laws, and in specific Regulation EU 2016/679 (the GDPR), Law 4624/2019, Law 3471/2006, and any other applicable regulation. By using and benefiting from EuroCheeseHub services, users acknowledge that we can provide our services only by processing their personal data as detailed in our Privacy Policy.
